Full and Final Settlement

Full and final settlement (FnF) is the process an employer follows to calculate and clear all pending dues with an employee who is leaving the organisation. It covers final salary, leave encashment, gratuity, bonus, and reimbursements, minus recoveries such as notice period shortfall, loans, and taxes. Once FnF is complete, neither the employer nor the employee owes the other anything related to that employment.

FnF applies to every type of exit: resignation, termination, dismissal, retrenchment, retirement, end of a fixed-term contract, or closure of the business.

FnF Full Form And Meaning

The FnF full form is Full and Final, and it always refers to the full and final settlement of dues. You will also see it written as F&F, F and F, full n final, final settlement or full and final payment. All of these mean the same thing.

What FnF Means in a Company

In a company, "your FnF is in process" means HR and payroll are computing your last payout. "Your FnF is done" means the money has been credited and the account is closed.

Why FnF Settlement Matters

For employees, FnF is often a significant sum. It can include months of accrued leave and, for long-serving staff, gratuity. For employers, it is a legal obligation. A delayed or incorrect settlement can lead to penalties, labour complaints, and damage to the company's reputation as an employer.

A clean FnF also protects both sides. It creates a signed record that all dues have been settled, which prevents disputes later. Companies that run exits through HR management software keep resignation approvals, no-dues sign-offs, and exit documents in one place, so nothing is left pending when the settlement is due.

Full And Final Settlement Rules In India

India's four labour codes came into force on 21 November 2025. They changed FnF timelines sharply. Many companies earlier took 30 to 45 days, sometimes longer. That practice no longer meets the law for wage components.

FnF Timelines Under the Labour Codes

ComponentLegal timelineGoverning law
Final salary, leave encashment, bonus, incentives (wage dues)Within 2 working days of the last working daySection 17(2), Code on Wages, 2019
GratuityWithin 30 days of becoming payableCode on Social Security, 2020
Provident FundAs per EPFO processing timelines after the claim is filedEPF framework / Code on Social Security

The 2-working-day rule applies whatever the reason for exit, whether resignation, dismissal, removal, retrenchment, or closure. Employers who fail to pay on time can face fines under the Code on Wages, and the penalties are heavier for repeat violations. For a wider look at how the new codes affect pay structures, including the rule that wages must be at least 50% of total remuneration, see this breakdown of India's Labour Code 2025 and its impact on salary.

Gratuity Eligibility

Permanent employees qualify for gratuity after 5 years of continuous service. Fixed-term employees now qualify after 1 year of continuous service under the Code on Social Security.

Components Of Full And Final Settlement

Amounts Payable to the Employee

  • Unpaid salary: Pro-rata salary for the days worked in the final month, up to the last working day.
  • Leave encashment: Payment for accrued, unused earned or privilege leave, as per company policy.
  • Gratuity: Payable if the employee meets the continuous service requirement.
  • Bonus and incentives: Statutory bonus, performance bonus, commissions, or variable pay that was earned but not yet paid.
  • Arrears: Any pending salary revisions or past-month differences.
  • Reimbursements: Approved claims for travel, fuel, medical, or other business expenses.
  • Notice pay: If the employer asks the employee to leave before the notice period ends, the unserved period is usually paid out.

Amounts Recovered from the Employee

  • Notice period shortfall: Recovery for unserved notice days, if the employer has not waived them.
  • Loans and salary advances: The outstanding balance of any company loan or advance.
  • Unreturned assets: The cost of laptops, phones, ID cards, or other company property not handed back.
  • Statutory deductions: Employee PF contribution, professional tax (state-wise), and TDS.

The FnF Settlement Process: Step By Step

  1. Exit initiated: The employee submits a resignation, or the employer issues a termination or retirement notice. The last working day (LWD) is confirmed in writing.
  2. No-dues clearance: IT, admin, finance, and the reporting manager each confirm that assets are returned and that no money is outstanding.
  3. Data collection: Payroll gathers attendance for the final month, leave balance, pending claims, loan balances, and the tax position for the financial year.
  4. Calculation: HR computes all payables and recoveries and prepares the FnF statement.
  5. Approval and payment: The statement is approved, and the net amount is credited to the employee's bank account within the legal timeline.
  6. Exit documents: The employee receives the FnF statement, final payslip, relieving letter, experience letter, and Form 16 for the year.
  7. PF transfer or withdrawal: The employer updates the date of exit on the EPFO portal so the employee can transfer or claim their PF.

Doing this by hand across attendance sheets, leave registers, and loan ledgers is where most delays happen. A connected payroll software pulls attendance, leave balance, reimbursements, and statutory deductions into the final calculation automatically, which makes the 2-day deadline realistic.

How To Calculate Full And Final Settlement

Net FnF amount = Total payables − Total recoveries

FnF Calculation Formulas

ComponentFormula
Final month salary(Monthly gross ÷ days in month) × days worked
Leave encashment(Basic + DA ÷ 26) × unused earned leaves
Gratuity(Last drawn Basic + DA) × 15 × completed years of service ÷ 26
Notice shortfall(Monthly gross or basic, per policy ÷ 30) × unserved notice days

Some companies divide salary by 26 working days and others by 30 or by the actual calendar days. The divisor should match your salary policy and appointment letter.

Gratuity Rounding Rule

Service of 6 months or more in the final year counts as a full year. For example, 6 years and 7 months counts as 7 years, while 6 years and 4 months counts as 6 years.

Worked Example of FnF Calculation

Rohan resigns with his last working day on 18 November. Here are his details:

  • Monthly gross: ₹60,000; Basic: ₹30,000
  • Service: 6 years 4 months
  • Unused earned leave: 12 days
  • Pending approved reimbursement: ₹4,500
  • Unserved notice: 5 days (not waived)
  • Outstanding salary advance: ₹15,000

Payables

PayablesAmount (₹)
November salary (60,000 ÷ 30 × 18)36,000
Leave encashment (30,000 ÷ 26 × 12)13,846
Gratuity (30,000 × 15 × 6 ÷ 26)1,03,846
Reimbursement4,500
Total payables1,58,192

Recoveries

RecoveriesAmount (₹)
Notice shortfall (60,000 ÷ 30 × 5)10,000
Salary advance15,000
Employee PF (12% of pro-rata basic ₹18,000)2,160
Professional tax200
TDS (illustrative)8,000
Total recoveries35,360
Net FnF Payable: ₹1,22,832

Under the new rules, the wage portion (salary, leave encashment, and reimbursement here) must reach Rohan within 2 working days. The gratuity must be paid within 30 days. Advances are adjusted in the same statement. With a loans and advances module, the outstanding balance flows into the FnF calculation automatically, so no recovery is missed.

Full And Final Settlement Format

A standard FnF statement has four parts:

  1. Employee details: Name, employee ID, designation, department, date of joining, date of resignation, and last working day.
  2. Payables (Part A): Each earning listed separately with the period or basis of calculation.
  3. Recoveries (Part B): Each deduction listed separately.
  4. Net amount (Part C): A − B, written in figures and words, with the payment mode and date.

The statement should end with the authorised signatory's sign-off and a space for the employee's acknowledgement. Many companies keep a full and final settlement format in Excel for calculation and then issue a signed PDF statement to the employee.

Is Full And Final Settlement Taxable?

Most of it is taxable, but some parts carry exemptions.

Fully Taxable Components

Final salary, bonus, incentives, notice pay, and arrears are taxed at the employee's slab rate.

Exempt or Partly Exempt Components

  • Gratuity: Exempt up to ₹20 lakh over a lifetime, subject to the statutory calculation.
  • Leave encashment: For non-government employees, encashment at retirement or resignation is exempt up to ₹25 lakh over a lifetime. Encashment while still in service is fully taxable.
  • PF withdrawal: Generally tax-free after 5 years of continuous service. Earlier withdrawals may attract tax and TDS.

The employer deducts TDS based on the employee's total income for the financial year up to the exit date. This is reflected in Form 16.

What Is A Negative Full And Final Settlement?

A negative FnF happens when recoveries exceed payables. Common causes are a long unserved notice period, a large outstanding loan, or a joining bonus that must be repaid. In this case, the employee owes money to the employer.

The employer shares the statement and asks for payment of the balance. Employees who disagree can ask for a line-by-line breakdown and can request a waiver of notice recovery, especially if handover was completed. Companies should keep such recoveries in line with the appointment letter and company policy.

What If Your FnF Is Delayed Or Not Paid?

Steps an Employee Can Take

  1. Write to HR: Send a formal email asking for the FnF statement and payment date. Mention your last working day and the 2-working-day timeline under Section 17(2) of the Code on Wages.
  2. Escalate internally: Copy the HR head or the finance team if there is no reply within a reasonable time.
  3. Approach the labour authorities: File a complaint with the local Labour Commissioner's office or through the government's online grievance channels.
  4. Legal remedies: If conciliation fails, the claim can be taken to the appropriate labour forum. Delayed gratuity also attracts interest.

Wage components must be paid within 2 working days of the last working day. Gratuity has a 30-day window. PF depends on EPFO processing after the claim is filed.

Yes. The 2-day rule covers termination, dismissal, and removal, not just resignation. Dues earned up to the last day must be paid.

You should receive the FnF statement, final payslip, relieving letter, experience letter, and Form 16.

The FnF statement shows the employee's PF deduction for the final month. The PF balance itself is held by EPFO. The employee transfers or withdraws it through the EPFO portal after the employer updates the exit date.

Employers can recover the value of unreturned assets through the settlement. However, they cannot use pending clearances as a reason to hold the statutory wage payment beyond the legal timeline.

Dues earned up to the last day worked remain payable. The employer may make recoveries for notice shortfall and unreturned assets as per policy before settling the balance.
